Partner Agreement

"Kuxtoma" refers to the platform operated by Kuxtoma and its administrators.

"Partner" or "You" refers to the individual who has registered for and agreed to this Partner Agreement via the Partner Programme sign-up page.

"Vendor" refers to a business or individual who registers a storefront on the Kuxtoma platform.

"Referral" means a new Vendor registration that is attributed to you via your unique referral code or link at the point of sign-up.

"Commission" means the monetary reward paid to you when a Vendor you referred subscribes to a paid plan on Kuxtoma.

"Hold Period" means the waiting period (currently 14 calendar days) between a Vendor's payment being received and the corresponding Commission being confirmed for payout.

"Dashboard" means the Partner Portal accessible at kuxtoma.com/influencer after you log in.

By ticking the acceptance checkbox during registration and clicking "Create Partner Account", you confirm that you have read, understood, and agree to be legally bound by this Partner Agreement.

If you do not agree to any part of this Agreement, you must not complete registration as a Partner.

Kuxtoma reserves the right to update this Agreement at any time. Material changes will be communicated via the email address associated with your account. Continued participation in the programme after the effective date of any update constitutes acceptance of the revised terms.

Enrolment in the Partner Programme is free. No application fee, subscription fee, or minimum performance requirement is imposed at sign-up.

You must be at least 18 years of age to participate.

You must provide accurate personal information — including your full name, email address, and (where provided) phone number — during registration. False or misleading information is grounds for immediate termination.

Kuxtoma reserves the right to refuse or revoke partner status at its sole discretion, including but not limited to cases of suspected fraud, abuse, or violation of this Agreement.

You may not create multiple partner accounts. Duplicate accounts will be merged or terminated.

Upon registration, you will be assigned a unique referral code and a corresponding referral link.

A Referral is recorded when a new Vendor registers on Kuxtoma and either (a) uses your referral link, or (b) manually enters your referral code during sign-up.

Attribution is first-touch: the first referral code or link used by a Vendor determines the attributed Partner. Subsequent shares of a different referral code by the same Vendor do not override the first attribution.

Referrals are only attributed to new Vendor accounts. You cannot claim credit for Vendors who registered before you shared your link or code.

Self-referrals — registering as a Vendor yourself using your own referral code — are prohibited and will not generate a Commission.

You earn a Commission equal to the published commission rate applied to the net plan revenue paid by the Vendor you referred for each qualifying subscription period.

The current commission rate is 30% of the plan value. Kuxtoma may update commission rates at any time with at least 14 days' notice to active Partners.

Commissions are calculated in Nigerian Naira (NGN) based on the Vendor's payment amount as received by Kuxtoma.

Trial periods, free plans, or promotional discounts applied to a Vendor's subscription do not generate a Commission.

Commissions are one-time per subscription payment, not recurring unless the Vendor continues to make qualifying payments.

All Commissions enter a Hold Period of 14 calendar days following the Vendor's confirmed payment.

During the Hold Period, a Commission will display the status "Pending" in your Dashboard.

If the Vendor receives a full or partial refund, or their payment is reversed or charged back during the Hold Period, the corresponding Commission will be voided. Voided Commissions are not paid.

If no refund or reversal occurs during the Hold Period, the Commission status changes to "Confirmed". Confirmed Commissions are eligible for payout.

Kuxtoma reserves the right to extend the Hold Period in exceptional circumstances, including but not limited to suspected fraud or disputes under investigation.

Payouts are processed manually by the Kuxtoma admin team. To receive a payout, you must submit a payout request from your Dashboard and have valid bank details saved (bank name, account number, account name).

Payouts are sent via Nigerian bank transfer (NGN). Kuxtoma does not support international wire transfers at this time.

Minimum payout amounts and processing timelines may be communicated via your Dashboard. Standard processing is within 3–5 business days of a confirmed payout request.

Kuxtoma is not responsible for delays caused by receiving banks or third-party payment processors.

You are solely responsible for any taxes, levies, or duties applicable to your Commission income in your jurisdiction. Kuxtoma does not withhold tax on partner payouts.

Partners progress through four tiers — Bronze, Silver, Gold, and Platinum — based on cumulative lifetime Confirmed (paid) Commission earnings.

Tier thresholds: Bronze (below ₦10,000); Silver (₦10,000–₦49,999); Gold (₦50,000–₦199,999); Platinum (₦200,000 and above).

Tier upgrades are applied automatically when your cumulative Confirmed earnings cross the relevant threshold.

Tiers do not reset. Once achieved, a tier cannot be downgraded due to refunds or commission voidings, except in cases of fraud or termination.

Higher tiers may carry additional benefits as described on the Partners page and in Dashboard notifications. Kuxtoma may adjust tier benefits at its discretion.

You agree to promote Kuxtoma honestly and accurately. You must not make false or exaggerated claims about the platform, its features, pricing, or earning potential.

You must not engage in spam, unsolicited messaging, or any marketing practice that violates applicable laws, including but not limited to the Nigeria Data Protection Act (NDPA) and the Nigerian Communications Commission's spam regulations.

You must not use Kuxtoma's trademarks, logo, or brand assets in any way that is misleading, defamatory, or not approved in advance by Kuxtoma.

You must not operate any website, landing page, or advertisement that impersonates Kuxtoma or creates a false impression that you are an official representative of the platform.

You must not incentivise fake Vendor registrations, offer cash or rewards to vendors in exchange for signing up, or otherwise artificially inflate referral counts.

You agree to comply with all applicable laws and regulations in your promotional activities.

Kuxtoma grants you a limited, non-exclusive, non-transferable licence to use Kuxtoma's name, approved logos, and marketing materials solely for the purpose of promoting the Partner Programme in accordance with this Agreement.

All intellectual property rights in Kuxtoma's brand, platform, software, and content remain the exclusive property of Kuxtoma. Nothing in this Agreement transfers any intellectual property rights to you.

Kuxtoma may revoke your licence to use its brand materials at any time without notice.

You may not disclose any non-public information about Kuxtoma's business, pricing structures, vendor details, or internal operations that you become aware of through your participation in the Partner Programme.

Commission rates and tier thresholds are not confidential and may be shared publicly.

Either party may terminate this Agreement at any time. You may terminate by closing your partner account via Dashboard Settings or by contacting support@kuxtoma.com.

Kuxtoma may suspend or terminate your partner account immediately and without notice for: violation of this Agreement; fraudulent activity; misrepresentation; abuse of the referral system; or any conduct that in Kuxtoma's judgement harms the platform or its users.

Upon termination by either party, your referral link will be deactivated and new referrals will no longer be attributed to you.

Commissions that have reached "Confirmed" status at the time of termination remain payable and will be processed in accordance with the payout terms. Pending commissions are forfeited upon termination for cause.

Kuxtoma's decision regarding termination for cause is final.

Kuxtoma makes no representations or warranties regarding the volume of referrals you will generate, the number of Vendors who will subscribe, or the commissions you will earn. Past earnings of other Partners are not indicative of your future results.

The Partner Programme is provided "as is". Kuxtoma disclaims all implied warranties including fitness for a particular purpose and non-infringement.

To the maximum extent permitted by applicable law, Kuxtoma's total liability to you under this Agreement shall not exceed the total Confirmed Commissions paid to you in the three months immediately preceding the claim.

Kuxtoma shall not be liable for indirect, incidental, special, or consequential damages, including lost profits or loss of data, arising out of or related to this Agreement or the Partner Programme.

This Agreement is governed by and construed in accordance with the laws of the Federal Republic of Nigeria.

Any dispute arising out of or in connection with this Agreement shall first be referred to good-faith negotiation between the parties for a period of 30 days.

If the dispute is not resolved through negotiation, it shall be subject to the exclusive jurisdiction of the courts of Lagos State, Nigeria.
