These Terms of Service govern your use of the Kuxtoma platform. Please read them carefully before registering as a vendor, creating a customer account, or otherwise using the service.
By accessing or using the Kuxtoma platform — whether as a visitor, vendor, or customer — you agree to be bound by these Terms of Service and all applicable laws and regulations.
If you do not agree with any part of these terms, you may not use the platform. We reserve the right to update these terms at any time with reasonable notice.
Kuxtoma is a technology platform and marketplace operator only. We provide software infrastructure that enables independent vendors to create and operate digital storefronts and enables customers to discover products from those storefronts.
Kuxtoma is not a seller, retailer, or party to any transaction between a vendor and a customer. Each vendor is a fully independent business operator who is solely responsible for their store, products, listings, pricing, fulfilment, customer service, and all legal obligations arising from their trading activity.
Nothing in these Terms creates an employment, agency, partnership, or joint venture relationship between Kuxtoma and any vendor.
To become a vendor, you must submit an application with accurate and complete business information, including valid identity and business registration details where requested. Applications are reviewed at our sole discretion and approval is not guaranteed.
As a vendor, you are solely and exclusively responsible for: the accuracy, truthfulness, and legality of all product listings and descriptions; fulfilment of orders placed through your store; compliance with all applicable consumer protection, trade, and tax laws; resolving all disputes with your customers; and maintaining accurate bank or payment details.
Vendors may not list counterfeit goods, stolen goods, illegal items, or any product that misrepresents its nature, origin, or condition. Violation of this policy will result in immediate suspension and reporting to the relevant authorities.
Vendor accounts are personal and non-transferable. You may not share login credentials or grant access to your account to unauthorised parties.
By registering as a vendor, you explicitly acknowledge and agree that: (a) you are an independent seller and not an agent or employee of Kuxtoma; (b) you take full legal and financial responsibility for all transactions, refunds, and disputes arising from your store; and (c) you will not use the platform for any fraudulent, deceptive, or unlawful purpose.
You agree to indemnify, defend, and hold harmless Kuxtoma, its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the platform; (b) your store, products, or services; (c) any transaction between you and a customer; (d) your violation of these Terms; (e) your violation of any applicable law or the rights of any third party; or (f) any fraudulent, deceptive, or negligent conduct on your part.
This indemnification obligation survives the termination of your account and these Terms.
Customers register within the context of a specific vendor's storefront. Your account is linked to that vendor's store.
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
You must provide accurate information at checkout including a valid shipping address.
Kuxtoma does not verify vendor claims about their products. Customers are encouraged to exercise their own judgment and to report suspicious or fraudulent stores using the Report feature available on every storefront.
All prices displayed on vendor storefronts are set independently by each vendor. Kuxtoma does not control pricing and is not a party to any sale.
For bank transfer payments, the transaction is directly between the customer and the vendor. Kuxtoma facilitates the receipt upload and verification workflow but does not hold, process, or have custody of any funds.
For online payments (Paystack), payments are processed by Paystack under their own terms of service. Kuxtoma is not responsible for payment processor failures, errors, or disputes.
Refunds, returns, and disputes are handled directly between the vendor and customer. Kuxtoma may, at its discretion, assist in facilitating communication between the parties but assumes no liability for the outcome of any transaction dispute.
You may not use the platform to: post false, misleading, or fraudulent information; engage in deceptive or fraudulent transactions; impersonate another person or business; attempt to gain unauthorised access to other accounts or systems; scrape or harvest data from the platform without authorisation; or violate any applicable law or regulation.
Vendors may not manipulate reviews, create fictitious orders, misrepresent product availability or condition, or take any action designed to deceive customers.
Conduct that results in financial harm to customers — including but not limited to collecting payment without fulfilling orders — constitutes fraud under Nigerian law and will be reported to the Economic and Financial Crimes Commission (EFCC) and other relevant authorities.
Every storefront on the Kuxtoma platform includes a "Report this Store" feature. Customers and visitors are encouraged to use this feature to flag stores suspected of fraud, misrepresentation, or policy violations.
All reports are reviewed by the Kuxtoma trust and safety team. We reserve the right to immediately suspend any store under investigation while a review is conducted.
If you have been a victim of fraud by a vendor on our platform, we encourage you to report it to the EFCC (www.efcc.gov.ng), the Consumer Protection Council (CPC), or your local police in addition to reporting through the platform.
Kuxtoma cooperates with law enforcement and regulatory authorities and will provide vendor identity information (including registration documents and contact details) upon receipt of a valid legal process such as a court order or official agency request.
Kuxtoma provides the platform on an "as is" basis and makes no warranties, express or implied, regarding the conduct, legitimacy, or reliability of any vendor or the products they list.
Kuxtoma is not responsible for and expressly disclaims all liability for: (a) any fraudulent or deceptive acts by vendors; (b) the quality, safety, legality, or fitness of any product sold through the platform; (c) any failure by a vendor to fulfil an order; (d) any loss suffered by a customer as a result of a transaction with a vendor.
To the maximum extent permitted by law, Kuxtoma's total aggregate liability for any claim arising out of or related to the platform shall not exceed the subscription fees paid by the relevant vendor in the three months preceding the claim.
The Kuxtoma brand, logo, and platform software are our intellectual property. You may not copy, modify, or distribute them without written permission.
Vendors retain ownership of their product images and content. By uploading content, you grant Kuxtoma a non-exclusive, royalty-free licence to display that content on the platform solely for the purpose of operating the service.
We reserve the right to suspend or terminate any vendor or customer account at any time, with or without notice, for: breach of these Terms; fraudulent or deceptive activity; conduct that, in our judgement, threatens the safety, integrity, or reputation of the platform or its users.
Suspended vendors remain liable for all obligations to customers that arose before suspension, including unfulfilled orders and refund obligations.
You may close your account at any time by contacting support@kuxtoma.com. Outstanding obligations (e.g. unfulfilled orders) must be resolved before account closure.
These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria, including the Cybercrimes (Prohibition, Prevention, Etc.) Act 2015 and the Consumer Protection Council Act. Any disputes shall be subject to the exclusive jurisdiction of the courts of Lagos State.
